Terms of Service

1. Agreement to Terms

By creating an account or using GradePact (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and GradePact.

2. Eligibility

You must be at least 13 years old to use GradePact. By using the Service, you represent that you meet this requirement.

If you are between 13 and 17 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service.

We do not knowingly permit children under 13 to create accounts. If we discover that a user is under 13, we will terminate their account and delete their data.

3. Account Registration

  • You must provide accurate, complete information when creating your account.
  • You are responsible for maintaining the security of your password and for all activity that occurs under your account.
  • You may not create accounts on behalf of others without their explicit consent.
  • You may not share your account credentials with any other person.
  • Notify us immediately at help@gradepact.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree to use GradePact only for its intended purpose of academic tracking and accountability. You may not:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Upload false, misleading, or fraudulent academic information.
  • Harass, abuse, or harm other users through the partner connection features.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Scrape, reverse-engineer, or copy any part of the Service.
  • Use the Service to transmit spam or unsolicited communications.
  • Upload content that infringes on intellectual property rights (for example, uploading a syllabus you did not receive or are not authorized to share).

5. Student-Parent Connections

GradePact allows students to connect with accountability partners (parents, guardians, or mentors). By establishing a connection:

  • Students grant their partner visibility into the academic data they have not marked as private.
  • Students retain the right to mark individual courses as private at any time.
  • Partners agree to use information shared with them only to support the student's academic progress and not to use it in harmful or coercive ways.
  • Either party may disconnect the relationship at any time from within the app.

6. AI-Powered Features

GradePact uses artificial intelligence (via Anthropic (Claude)) to power syllabus parsing and AI conversation starters. By using these features, you acknowledge:

  • Relevant content from your account (such as grade data or reflection text) will be transmitted to Anthropic's API (Claude) to generate a response.
  • AI-generated content is provided for informational and conversational purposes only. It does not constitute academic, professional, or therapeutic advice.
  • You should review and use your judgment on any AI-generated suggestions before acting on them.

7. Premium Subscription

Certain features require a paid Premium subscription.

  • Subscription fees are billed on a monthly or annual basis as selected at checkout.
  • Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no refunds are provided for partial periods.
  • We reserve the right to change subscription pricing with reasonable notice. Price changes will not apply until your next renewal period.
  • Mobile app users who wish to upgrade to Premium should visit gradepact.com to manage their subscription.

8. Intellectual Property

GradePact and its original content, features, and functionality are owned by GradePact and are protected by applicable copyright, trademark, and other intellectual property laws.

You retain ownership of all content you submit to the Service, including academic data, reflections, and uploaded documents. By submitting content, you grant GradePact a limited license to store, process, and display that content solely to provide the Service to you.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. Academic data you enter is not verified by GradePact — we rely on you to enter accurate information. AI-generated content may be inaccurate or incomplete; always use your own judgment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADEPACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Termination

You may delete your account at any time from your Settings page. Deletion is permanent and irreversible — all associated data will be erased.

We may suspend or terminate your account without notice if you violate these Terms, engage in harmful behavior toward other users, or if we are required to do so by law. We will make reasonable efforts to notify you by email before termination where feasible.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by updating the date at the top of this page. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of those courts.
